End User License & User Agreement

Welcome to InsightLoop! This End User License & User Agreement ("Agreement") constitutes a fully binding legal contract between you (an individual, corporation, or other legal entity) and InsightLoop.

IMPORTANT NOTICE: Please read this Agreement carefully, particularly the bolded clauses regarding disclaimers of liability, limitations of liability, mandatory arbitration, and class action waivers. Using the Service constitutes your unconditional acceptance of this Agreement.

1. License Grant and Intellectual Property

1.1 Limited License: Subject to your compliance with this Agreement, InsightLoop grants you a revocable, non-transferable, non-exclusive limited license to access and use the platform solely for your internal business research purposes.
1.2 Reservation of Rights: All intellectual property rights pertaining to the InsightLoop platform, including source code, UI/UX design, underlying algorithms, and branding, are exclusively owned by InsightLoop. You shall not reverse engineer, decompile, bypass encryption measures, or attempt to extract the source code.
1.3 Customer Data Ownership: You retain full ownership of all research guidelines, user lists, and final interview reports generated for you by the system ("Customer Data"). You hereby grant InsightLoop the necessary permissions to host and process this data solely to operate the Service.

2. Acceptable Use Policy (AUP)

You must absolutely not, directly or indirectly:

  • Use the Service to transmit spam, malware, or engage in phishing or telecommunications fraud;
  • Abuse the AI Engine: Intentionally bypass system safety guardrails via prompt injection, jailbreaking, or steer the AI to generate politically sensitive, violent, explicit, discriminatory, or unlawful content;
  • Illegally collect sensitive personal information (e.g., medical records, financial credentials, racial or religious data) from respondents without explicitly informed, lawful consent;
  • Deploy automated scrapers to extract data from our site or attempt Denial of Service (DDoS) attacks against our infrastructure.

Violations of the AUP will result in immediate, unnotified account suspension, forfeiture of prepaid balances, and potential referral to law enforcement agencies.

3. Limitation of Liability and AI Disclaimer

3.1 "AS IS" Provision: The system is provided on an "AS IS" and "AS AVAILABLE" basis. InsightLoop expressly disclaims all warranties, whether express or implied, including merchantability and fitness for a particular purpose.
3.2 Inherent AI Limitations: You acknowledge that this Service heavily relies on Generative AI. AI may occasionally produce outputs that are inaccurate, fabricated (hallucinations), nonsensical, or biased. You agree that human personnel must independently review and verify any system-generated research conclusions before relying on them for commercial investments, product launches, or operational decisions. InsightLoop shall not be liable for any financial loss or reputational damage resulting from your reliance on AI outputs.
3.3 Liability Cap: Under no circumstances shall InsightLoop's total cumulative liability to you exceed the total amount of service fees you actually paid to us during the twelve (12) months immediately preceding the event giving rise to the claim.

4. Mandatory Arbitration and Class Action Waiver

Dispute Resolution: Except for injunctive relief relating to intellectual property infringement, any dispute arising out of or relating to this Agreement or the Service shall be submitted to binding arbitration before a recognized international arbitration tribunal in accordance with its prevailing rules.
Class Action Waiver: YOU EXPRESSLY AGREE THAT ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND YOU VOLUNTARILY WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, REPRESENTATIVE PROCEEDING, OR CONSOLIDATED ARBITRATION.

5. Survival and Amendments

The clauses pertaining to intellectual property, disclaimers, limitations of liability, and dispute resolution shall survive any termination or expiration of this Agreement. InsightLoop reserves the right to modify this Agreement at any time. Continued use of the Service following publication of modifications constitutes acceptance of the revised terms.
